EARN-OUT
Контрактное соглашение между покупателем компании и ее продавцом о том, что продавец получает часть суммы при экзите сразу, а остальную же часть покупатель выплачивает в будущем при достижении поглощенной компанией целевых показателей ПОСЛЕ экзита.

An earnout is a contractual provision stating that the seller of a business is to obtain additional compensation in the future if the business achieves certain fi nancial goals, which are usually stated as a percentage of gross sales or earnings. If an entrepreneur seeking to sell a business is asking for a price more than a buyer is willing to pay, an earnout provision can be utilized. In a simplifi ed example, there could be a purchase price of $1,000,000 plus 5% of gross sales over the next three years.
Outside factors may also impact the company’s ability to achieve earnout targets.

Because of these limitations, sellers oft en negotiate earnout terms very carefully.

The terms and conditions of an earnout are largely dependent on which party will actually manage the business following the closing.
